These Terms of Service ("Terms") govern your access to and use of Chief Sentinel's AI-powered information management platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using Chief Sentinel, you represent that:
- You are at least 18 years of age
- You have the authority to bind your organization to these Terms
- You will comply with all applicable laws and regulations
- All information you provide is accurate and current
2. Service Description
Chief Sentinel provides an AI-powered information management platform designed specifically for family offices. Our Service includes:
- Document storage, organization, and intelligent search capabilities
- Natural language query system for information retrieval
- Sovereign AI architecture with private data processing
- Unified dashboard for family office operations
- Integration with existing systems and workflows
We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.
3. User Accounts and Security
3.1 Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, complete, and current information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breaches
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree not to share your account credentials or allow unauthorized access to your account.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Upload malicious code, viruses, or other harmful content
- Attempt to gain unauthorized access to our systems or other users' data
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service to transmit spam, phishing attempts, or fraudulent content
- Interfere with or disrupt the Service or servers
- Circumvent security measures or usage restrictions
- Use the Service for any illegal, harmful, or abusive purposes
5. Your Data and Content
5.1 Ownership
You retain all ownership rights to the data and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.
5.2 License Grant
By uploading Your Content, you grant us a limited license to:
- Store, process, and display Your Content to provide the Service
- Use Your Content to improve Service functionality for your use of the platform
- Create backups and ensure data redundancy for security purposes
We do not sell your content or use it to train AI models for other customers or third parties.
5.3 Your Responsibilities
You are responsible for:
- Ensuring you have the right to upload and share Your Content
- The accuracy, quality, and legality of Your Content
- Maintaining backup copies of Your Content
- Complying with all applicable data protection and privacy laws
6. Intellectual Property
The Service, including its design, features, functionality, software, and content (excluding Your Content), is owned by Chief Sentinel and protected by intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.
7. Payment and Billing
7.1 Fees
Access to the Service requires payment of subscription fees as specified in your service agreement. All fees are non-refundable except as required by law or expressly stated in your agreement.
7.2 Billing
You authorize us to charge your designated payment method for all fees. If payment fails, we may suspend or terminate your access to the Service.
7.3 Price Changes
We may change our pricing with 30 days' advance notice. Continued use of the Service after the price change constitutes acceptance of the new pricing.
8. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no warranty regarding the quality, accuracy, or reliability of any information obtained through the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIEF SENTINEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Chief Sentinel, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Your Content, or your violation of these Terms.
11. Term and Termination
11.1 Term
These Terms remain in effect while you use the Service.
11.2 Termination by You
You may terminate your account at any time by contacting us at support@chiefsentinel.com. Upon termination, you will have 90 days to export Your Content before it is permanently deleted.
11.3 Termination by Us
We may suspend or terminate your access immediately if you:
- Breach these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Pose a security or legal risk
11.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, and limitations of liability) will continue to apply.
12. Dispute Resolution
12.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@chiefsentinel.com to attempt to resolve the dispute informally.
12.2 Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will take place in Palm Beach County, Florida.
12.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis and waive the right to participate in class actions or class arbitrations.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in Palm Beach County, Florida.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Chief Sentinel regarding the Service
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
- No Waiver: Our failure to enforce any right or provision does not constitute a waiver
- Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
